Maintenir sa gouvernance en temps de crise : les associations face à la pandémie

Abstract

[Ceci est un article scientifique] Face à la crise de la Covid-19, la gouvernance est souvent considérée comme un rempart crucial pour protéger les associations des difficultés les plus graves. Pourtant, la distanciation sociale imposée par les mesures sanitaires ainsi que les conséquences organisationnelles de la pandémie ont aussi affecté les dispositifs et instances de gouvernance. Grâce à l'approche contingente des organisations et au filtre du concept de capacités organisationnelles, la présente étude exploite les résultats d'un questionnaire envoyé aux associations un an après le début de la crise par les principaux réseaux associatifs français. L'analyse a porté sur les déterminants du maintien du bon fonctionnement du conseil d'administration : seuls les facteurs conjoncturels et l'accès aux ressources humaines bénévoles permettent de comprendre la gouvernance associative en temps de crise. Les ressources financières et les relations avec les partenaires, quant à elles, ne fournissent pas une compréhension significative. Si les principes de l'approche contingente ont été retrouvés, la focale doit se porter sur les bénévoles. Le concept de gouvernance associative est en cela discuté.

COVID-19 became a global health crisis affecting all collective spheres. French nonprofit organizations (NPOs) are trying to participate in the crisis response, but they are suffering from the consequences of the crisis and a structural lack of re- sources. The aim of this article is to understand how they reacted to the crisis and how they coped with the associated lack. It is based on an extensive survey of French NPOs during the first lockdown. The results show that NPOs consider- ably reduced their activity while trying to maintain social links. Despite the reorganization of working arrangements during COVID-19, the economic impact of the crisis was very strong. RÉSUMÉ La crise sanitaire du Covid-19 devient une crise globale qui touche toutes les sphères collectives. Les associations fran- çaises tentent de participer à la réponse à la crise mais, en dépit de cet engagement, elles subissent de plein fouet les conséquences de la crise et souffrent du manque de ressources qui est déjà structurel chez elles. L’objectif est de com- prendre comment elles ont réagi à la crise en composant avec ce manque. L’article s’appuie sur une enquête de grande ampleur auprès des associations durant le premier confinement. Les résultats montrent que les associations ont consi- dérablement réduit leur activité, tout en essayant de maintenir des liens sociaux si possible. L’impact économique est cependant très fort, malgré la réorganisation des modalités de travail.

« Un bénévole n’est pas un salarié qu’on ne paie pas, mais un salarié d’une association n’est pas tout à fait un salarié comme les autres » ! (Thierry, 2012). Pourtant complémentaires et indispensables à la performance des associations, ces deux acteurs font face à des paradoxes générant des tensions. Ce travail plaide pour la prise en compte de leurs réactions afin de proposer un management en cohérence avec ces spécificités. Pour cela, une méthodologie qualitative fondée sur le cas de l’association des Restos du Cœur est réalisée. L’analyse de 40 récits de pratiques complétée par de l’observation participante et le traitement des données secondaires démontrent la nature de leurs perceptions. Les résultats apportent un éclairage sur les contenus des paradoxes identitaires, de l’organisant, de la pratique et de l’apprentissage. Ils sont porteurs de valeurs entraînant un trouble de positionnement pouvant remettre en cause la finalité de la mission. L’analyse des réactions défensives donne naissance à des préconisations concernant le management des paradoxes. Elle invite à développer des « espaces de discussion », susceptibles d’organiser la rencontre entre ces deux mondes aux perspectives différentes. How has the COVID-19 pandemic impacted the roles of nonprofit boards? We reflect critically on the leadership and management activities of boards to understand the implications of the current crisis on governance. Employing a contingency approach to governance, we present a model of boards of directors’ leadership and management roles under four governance configurations as organizations navigate through the stages of the pandemic. We suggest that organizations with governance configurations that are more suited to predictable environments will generally experience greater shifts between management and leadership activities as they move through the stages of the COVID-19 crisis.

Project governance is widely recognized to be among the most critical factors for successful project delivery and benefits realization. However, the literature on project governance is fragmented and, despite past efforts by researchers in the field, there is yet a lack of consensus on what project governance is and the fundamental elements it constitutes. Furthermore, although project governance occupies the prime position to ensure that projects are aligned with organizational strategic objectives, the guidelines for how project governance can enable organizational strategy implementation through projects is a crucial yet under-researched area in the literature. Accordingly, building on the insights from past reviews and an initial scoping study, a systematic literature review was conducted on project governance examining and comparing 271 publications from both academic and professional literatures. The findings of this study build upon the efforts of its predecessors to shed light on the discourse on project governance pertaining to its definition, theoretical underpinnings, forms, and role in enabling organizational strategy implementation. Furthermore, a typology of projects is proposed to help link project governance guidelines to specific project contexts. Finally, future research directions for progressing the theoretical and practical understanding of project governance are identified.

This article presents empirical evidence of the governance challenges faced by Australian not-for-profit (NFP) organisations. There is a dearth of academic research in the not-for-profit sector on issues of governance. Using survey and interview data, we explore what NFP leaders believe are key governance challenges, and what this means for theory and practice of NFP governance. We demonstrate that the effectiveness of governance systems is influenced by internal and external contingencies that NFP organisations face, such as variations in board roles, stakeholder and membership demands, funding arrangements, board member recruitment processes, skills of board members, and resources for training and development. We argue for a shift of focus away from prescriptive and normative NFP governance models, and contend that generic best practice governance standards for NFPs ought not to be further pursued, and that a contingency approach is more promising. This article examines some of the main limitations of research on the governance of nonprofit organizations. It argues that there are limitations in both the way governance has been conceptualized and the ways in which it has been researched. It suggests that research has focused too narrowly on the boards of unitary organizations, and ignored both the wider governance system and the more complex multilevel and multifaceted governance structures that many organizations have evolved. It also argues that the dominant research designs employed have been cross-sectional and positivist in orientation. As a result, too little attention has been paid to board processes and change and how they are influenced by contextual and historical factors. Based on this analysis, some new directions for nonprofit governance research are briefly mapped out.

The paper’s starting point is the fact that the non-profit actors who professionalise are caught between their social mission and their business objectives. We address the issue by studying the governance-competencies combination in the non-profit sector, an uncommon subject in the literature in spite of its interest. The paper’s central question is: “How can the governance of a non-profit organisation benefit its social and business objectives? Where do competencies come into play in that context? We build an analytical framework based on two theoretical corpuses stemming from finance and strategic management: contractual theories and the theories of resources and competencies, the latter of which enrich what is known as the cognitive approach to financial governance. The empirical section is based on action-research work carried out in a longitudinal way with a non-profit association, Citoyens de la Terre (CT). CT is engaged in promoting corporate social responsibility (CSR) and sustainable development (SD) among tourism professionals in Provence and Mediterranean territories in France. The paper presents a case study with embedded design given that the organisation is part of several Social and Mutually-Beneficial Economics (SMBE) and for-profit networks. Our qualitative methodology is based on data polyangulation. Results confirm certain hypotheses suggested in the literature and offer stimulating insights for our knowledge of the management and governance of professionalised non-profit organisations. First, the paper confirms that, and clarifies how, the contractual and cognitive approaches to governance are complementary, and it adapts them to the non-profit field of activity. It shows the merits of a governance system which carefully balances disciplinary mechanisms in management and representatives bodies on the one hand, and participating democratic practices engaging legitimate stakeholders in decision-making processes on the other. The paper introduces the notion of managed contract-based governance in order to account for the organisation’s policy to find a suitable compromise between efficient management and militant values based on its priority objectives at each stage of its life cycle. Second, the study highlights the competencies that appear to be major determinants in the success of the governance and associative project. It emphasises the advantages resulting from a competencies-centred governance which results in: (1) directing members towards activities and responsibilities which will benefit the organisation most; (2) clarifying members’ responsibilities in accordance to their status and mission in the organisation; (3) clarifying the function of management and representative bodies on the basis of their proper competencies; (4) safeguarding the complementary qualities of individual competencies harnessed to achieve the collective project; (5) encouraging members to share competencies with the organisation in a mutually-enriching process. The success of the organisation’s project also crucially depends on the members’ expertise in the necessary competencies. In the case of CT, acquiring, selecting, renewing and transferring competencies are central to the organisation’s project. In that respect, CT is akin to Janus, the two-headed Roman god, since its pivotal role is to ensure two-way competency transfers, between SMBE and classical economics, which are the cornerstone of its mission. Two suggestions for further research conclude the paper. First, the study may be enlarged to include a wider sample of non-profit organisations with a view to generalising statistical results. Second, the study may proceed with the ongoing investigations to examine how competency transfers are carried out in sustainably developed tourism projects which involve other actors in other territories.

The main approach to the study of corporate governance within companies is predominantly based around 2 important theories focussing on 2 different standpoints - that of the shareholder and that of the stake-holder. The theory deals with the delicate balance of creation and distribution of profit between management and one or more outside agencies – whether shareholders or other stakeholders. A third theory has recently emerged however – namely the cognitive theory of governance. As a means to the creation and distribution of profits, this theory is more concerned with a company’s structures and, as a consequence, its ability to identify problems as they arise and to deal with them appropriately and effectively. Despite the conceptual differences between the theories, the characteristics pertaining to corporate bodies and the importance accorded to its management team remain at the heart of all critical analysis. Because of the very particular way that profit and non-profit making business organisations are constituted legally as well as the manner in which they are set up and run it is not easy to apply these same models of governance. As a result, this area of the business sector has not attracted as much academic interest or analysis as corporate governance proper. This is a regrettable oversight in view of the importance this type of organisation plays generally in the business world. In view of this, and always within the framework of research currently being undertaken on corporate governance generally, this article is an attempt to encourage global analysis of what makes for a successful profit or non-profit-making business organisation in terms of management.

In order to highlight how managers embody the employer function, beyond their legal status, this article proposes to study employer’s ability, which is understood as the manager’s ability to be an employer. Employer’s ability, which is not well researched in academic literature, should be investigated, in particular because it helps to identify the tension that may exist between the legal status of an employer—defined by the rights and obligations owed to the employee—and his role—which is more dependent on its ongoing management. However, this role of employer can sometimes be difficult to carry out, especially by chairpersons of small associations, whose position as employer may conflict with that of a volunteer. Once we have defined the basis for employer’sability, we approach it from HR practices and the various tasks that make up its scope of activity. This study on small associations, highlights a continuum of three employer’s ability configurations, each corresponding to an evolutionary perception of the HR function by the leader, the employee and the association’s office. By contributing to the field of HRM and the area of the social economy, this research offers managerial implications and opens up research opportunities that will be discussed.

La pertinence des théories des parties prenantes et de la dépendance aux ressources est étudiée par l’analyse du fonctionnement des associations françaises face à la crise de la Covid-19. Grâce à une large enquête et une opérationnalisation des théories au filtre de l’orientation sociétale, sont mis en avant les effets positifs du maintien des dispositifs de gouvernance sur la performance de court terme, un effet positif de la dépendance aux parties prenantes sur l’adoption d’une orientation sociétale et un effet négatif pour la viabilité, ainsi que des rôles différenciés en fonction de l’horizon temporel de l’orientation sociétale sur la viabilité.

This article studies French grassroots volunteer organizations, their governance and their accountability. The sample is composed of French major GVOs, in terms of reputation and resources. Their reports and declarations are analyzed. Using multiple regressions, the study shows the relevance of intervention areas, legal statuses and action domains and types when explaining governance mechanisms. Accountability practices are poorly influenced by structural characteristics, but this study points out many weaknesses in both GVOs’ governance and accountability. This research underlines the inapplicability of current literature and the necessity to build a research specific to French GVOs. They are not subject to the same structural influences as other NPOs.

La gouvernance est un terme polysémique qui naît dans l’univers des entreprises marchandes avant d’être mobilisé dans le contexte des organisations publiques. Après avoir rappelé brièvement l’histoire du concept, ainsi que la manière dont celui-ci est utilisé par les associations, l’auteur dégage trois perspectives ouvertes par les questions de gouvernance en lien avec l’évolution du modèle associatif. La première perspective repose sur la capacité des associations à s’engager sur des modèles multi-acteurs. La deuxième sur leur vocation à développer des démarches participatives à vocation inclusive pour accueillir les personnes les plus exclues de l’action publique. La troisième perspective témoigne d’un large mouvement de reconnaissance des communs. Au final, la gouvernance des associations apparait comme un espace doté d’une logique propre inaugurant un nouveau champ de recherche.

Cet article explore les articulations possibles entre la théorie des communs et celle de l’économie solidaire. Ces deux approches théoriques, tout en s’inscrivant dans des histoires et des démarches conceptuelles fort différentes, ont pour point commun de dépasser un cadre conceptuel uniquement fondé sur l’opposition et/ou la complémentarité entre le marché et l’Etat. L’article se base sur le terrain de recherche du Phares, à la fois coopérative (SCIC) et pôle territorial de coopération économique (PTCE) de la région parisienne, offrant la mutualisation d’un lieu de travail et des espaces collaboratifs à ses membres, des organisations de l’ESS. L’étude montre que la capacité du Phares à mettre en œuvre une gouvernance collective et à produire du commun pour le territoire est déterminante pour articuler communs et économie solidaire.

La gouvernance des organisations à but non lucratif (OBNL) est fondée sur le principe démocratique “un homme, une voix”. Ce principe s’applique de façon “intentionnelle” dans le cadre de l’assemblée générale et du conseil d’administration dont l’une des fonctions consiste à opérationnaliser la mission sous la forme d’un projet. Nos trente entretiens restituent cependant des modes de gouvernance particulièrement contrastés le long d’un continuum allant de l’ “idéal du projet” au « consensus idéal. L’idéal du projet rejoint la fonction disciplinaire de la gouvernance, il correspond à une approche représentative de la démocratie dans le cadre de laquelle les présidents défendent la réalisation efficiente de la conception du projet, validée par la majorité de l’assemblée. Le consensus idéal” correspond à la fonction cognitive, il constitue une version participative de la démocratie suivant laquelle les présidents laissent le projet évoluer en fonction des différents points de vue exprimés au sein de l’assemblée afin d’obtenir l’adhésion de tous. Nous discutons les spécificités des OBNL en matière de gouvernance et la nécessité de choisir entre les fonctions disciplinaire et cognitive de l’assemblée et du conseil lorsque leurs membres ne parviennent plus à s’accorder sur un projet commun.

This article synthesizes the literature on organizational capacity in an effort to improve our understanding of the relationship between capacity and various measures of nonprofit effectiveness. I define capacity as the means by which organizations achieve effectiveness, and propose a contingency model to explain how different measures of nonprofit effectiveness (via goal attainment, system resources, and the multiple constituencies models) suggest distinct ways of conceptualizing and assessing nonprofit capacity. Drawing from organizational theory, I consider capacity in terms of resource streams and operational activities. The article proposes a contingency model that will assist researchers in examining the extent to which particular organization capacity variables relate to different measures of organizational effectiveness. It also provides practitioners a useful tool for understanding and assessing nonprofit capacity and effectiveness in different scenarios, in light of various internal and external factors.

Effective delivery of services for the public good involves a multiplicity of organizations and actors, including those from the public, nonprofit, and private sectors. In some cases, service delivery is accomplished using programs that directly engage volunteers, including key public services like community-based and nonprofit volunteer fire departments. Volunteers in fire departments—often highly engaged volunteers with specialized training—provide vital services for a substantial portion of the United States, allowing local governments to realize considerable cost savings. Thus, issues of volunteer retention are a critical challenge for fire departments. Existing research has addressed issues of retention in a variety of settings; we argue that the challenging and particular context of fire departments is worthy of focused research. This article is an exploratory study of the predictors of voluntary firefighter retention in the Commonwealth of Pennsylvania. We use data from a web-based survey of volunteer firefighters to examine the factors that influence volunteer retention, focusing specifically on volunteer management practices and broader job-related concepts. Results indicate that volunteer training, performance management, job satisfaction, and organizational commitment influence both short- and mid-term intent to remain, indicating that management practices and programs, as well as other contextual factors that shape satisfaction and commitment, are important in retaining volunteers.

Cooperation and governance: Normalisation or regaining of associative principles? Adopting a neoinstitutionnalist perspective, the aim of this paper is to analyse the impact of current restructuring on the associative landscape, particularly on the new or revisited forms of governance. We wonder about the consequences for the associations of concentration movement in particular on their governance structure and on their sociopolitical dimension. While reducing associative leeway is often highlighted by academics and professionnals, we show that, paradoxically, cooperation processes can revitalize and reaffirm the sociopolitical dimension of the associations, through which associations contribute to institutional change. We rely on case studies in PACA and Languedoc-Roussillon.

Understanding and Improving the Governance of Non-Profit Organizations: Can Balanced Scorecards Help? The governance of non-profit organizations is characterized by both similarities (split between investors and managers, analysis of transaction costs, agency relationship) and fundamental differences (multiplicity of objectives) in relation to the governance of purely commercial organizations. This article attempts to present a synthesis of governance in non-profit organizations and to determine to what extent the use of balanced scorecards can improve the governance of this type of organization. To do this, the author emphasizes the relevance of the theory of conventions and of the work of Pierre Bourdieu on the accumulation of different forms of capital. The article then goes on to discuss the multitude of approaches to the governance of non-profit organizations, which are examined using the typology developed by Cornforth. The article then proposes a presentation of cases where the use of balanced scorecards as a governance tool has the potential to strengthen governance. Finally, by way of illustration, the author provides an example of a balanced scorecard developed for microfinancing organizations in developing countries.

Governance in Non-Profit Organizations: Understanding Practices before Regulating The past decade has seen a growing preoccupation with the need to improve governance practices. Publicly traded companies, Crown corporations and non-profit organizations (NPOs) have all been affected by this trend. In this article, we focus on the literature dealing specifically with NPOs, the majority of which takes a prescriptive approach. First of all, we call into question the pertinence of prescriptive guides that link “good governance” to “good performance.” We observe that these works fail to define accountability and efficiency in the NPO sector and that they show a lack of interest for the study of relations between board members and managers and a lack of documentation on the governance problems facing boards of directors. Secondly, we propose two cases inspired by practical experience that address governance issues that have been largely neglected in the literature.

In home care services, where workers are almost only women, workers’ health was not considered a problem until now. As they are similar to those that most women perform daily in their own home, tasks are quite invisible and seem harmless. However both epidemiological studies and local investigations show a rise of psychosocial risks, with a high incidence of musculoskeletal and psychological disorders. This communication presents results of a field survey conducted among two major home-care associations in the West of France. As part of an interdisciplinary and cross-sectors largest research, it will highlight the links between ways of organizing work and the health of employees, by looking especially opportunities for discussion around the work offered by the management. So all the devices used by associations to specify service also provide a framework for protecting the health of their employees. This governance can be regarded as an associative model for regulating work in private space.

Nonprofit organizations (NPOs) are increasingly required to become (more) effective. This review summarizes and integrates the results of studies focusing on NPOs' governance effectiveness. It proposes an extension of stakeholder theory to NPOs concerning governance involving diverse stakeholder groups. What makes this paper innovative is that it aims to identify more than effective board governance, and takes the perspectives of multiple nonprofit key stakeholders into account. This approach is particularly valuable as numerous researchers argue that the likelihood of NPOs being perceived as effective increases when they manage to align the, possibly very diverse, expectations of stakeholders on good governance. We consequently focus on the relationship between (1) the needs and objectives of key stakeholders and (2) (expected) governance (structures) in NPOs. The stakeholders we consider are government, beneficiaries, private donors, board members, management, volunteers, and non-managerial staff members. Results not only show the lack of attention some stakeholders have received in the literature, but also the governance related conflicting needs and objectives between stakeholder groups. In addition, even in the same stakeholder groups it is not rare that opposing findings are reported. Several studies indicate the (unforeseen) negative impact on (being accountability to) other stakeholders when NPOs try to be responsive to the needs and objectives of a particular stakeholder group. The value of this review lies in the fact that it reveals both the complexity of and the need for stakeholder management in NPOs, if they want to be perceived as (more) effective by their numerous stakeholders, and related to that gain insight in how to improve their governance practices. Numerous directions for further research are suggested.

Jean-Louis Laville, Management and regulation in the non-profit organizations This article shows through different case-studies that there is a diversity of management methods in non-profit organizations. Some of them have been governed by professionals who are autonomous with management being very reduced. Others have been instrumentalized by publicly controlled management tools. But, in certain cases, there have been attempts to define management tools through a multistakeholders approach. All these contrasted realities of management obviously show that management rules do not have to be imported from the for-profit establishments. There is a need to define an independent public space for an heuristic debate between actors, researchers and advisors about appropriate management and governance in NGO s.

The purpose of this article is to present an initial framework for understanding nonprofit board governance and then, using findings from the Urban Institute National Survey of Nonprofit Governance, explore relationships between variables presented in the framework. The framework is based on a recent review of the literature and highlights the ways in which internal organizational characteristics, board attributes, and the external environment influence board roles and responsibilities. In brief, our results confirm the importance of developing a more systematic body of knowledge about relationships between specific elements of context and board practices. The results suggest that the proposed contingency-based framework is a useful beginning point for future research.

Yet, nonprofit governance continues to suffer from unclear conceptions of the division of labor between board of directors and executive directors. This article examines the tasks and responsibilities of nonprofit boards of directors and explores the relationship between board performance and organizational effectiveness. Thirty-three activities in nine areas of board responsibility were examined through questionnaires and interviews with board members and chief executive officers of sixteen nonprofit organizations serving developmentally disabled adults. Rankings of organizational effectiveness were determined using external evaluators and accreditation surveys. A significant relationship between board performance and organizational effectiveness was found, and the board activities most strongly correlated with organizational effectiveness are reported, including policy formation, strategic planning, program monitoring, financial planning and control, resource development, board development, and dispute resolution.

Nonprofit organizations have been called the 'neglected stepchildren of modern organization law.' Deficits of control in nonprofit organizations are widespread. This is due to the absence of shareholders who could monitor and of the discipline by takeover markets. This article focuses on the board of nonprofit organizations as the center of nonprofit governance and tries to see what an be learned from the corporate governance discussion. The differences between the United States and Europe as to the board of nonprofit organizations is discussed at the outset. Then the organization and functioning of the board of nonprofit organizations and board responsibility are analyzed. Key problems of organization and functioning are the board structure (one-tier/two-tier), composition and size, committees, remuneration and audit. As to responsibility the duties of the board and its liability must be distinguished. At the end much can be learned from the corporate governance movement, but everything depends on enforcement, legal or non-legal.

A number of contingency factors may be relevant for effective nonprofit organizations and their boards. Although all boards must fulfill certain critical roles and responsibilities, strategic choices can be made about adopting different governance configurations or patterns. These choices can be meaningfully informed by understanding organizational contingencies such as age, size, structure, and strategy—and, even more important, by external contingencies and environmental dimensions such as degree of stability and complexity. This article extends or layers contingency thinking beyond its traditional focus on an alignment between the external environment and the organization's structure to focus as well on the alignment of the organization's governance configuration with its structure and environment. Structural contingency theory in general, and specifically within nonprofits, is reviewed. Two cases are presented of organizations that used an approach based on contingency theory in an action research process to examine and change their governance configurations. The steps they followed may help other nonprofits adapt their governance structures and practices and fulfill their responsibilities for board assessment and reflection.

This study of 161 nonprofit organizations in Israel was aimed at exploring the composition of boards, the methods employed to recruit new board members, and the selection criteria of board members. The results suggest that boards tend to be closed, elitist circles. Most organizations use mainly informal means to recruit new board members. The most important selection criteria were those related to interpersonal relationships, willingness to contribute time, and expressing an interest in working for the organization.

L'étude de la gouvernance dans les associations permet d'explorer un champ jusque là oublié par la plupart des études sur la gouvernance dans le contexte français. Tout en identifiant les acteurs et les différents mécanismes de gouvernance mis en place par ceux-ci, cette étude permet de soulever la question de l'adaptabilité à ces organisations des mécanismes usuellement recommandés et nous invite à explorer d'autres approches de la gouvernance.
